9. Trade Terms & Commercial Conditions

9.1 Pricing

• All prices are indicative unless confirmed in writing.
• Prices may change without prior notice.
• Final pricing is subject to product specifications, order quantity, packaging, destination, and shipment terms.

9.2 Payment Terms

Unless otherwise agreed in writing:

• Payment Terms: We accept Advance Payment or Letter of Credit (LC). For new buyers, we strongly recommend LC at sight or full advance payment to ensure smooth processing and secure transaction handling for both parties.
• Samples Policy: Samples can be arranged upon request. For new buyers, sample cost and courier charges (Cost + Shipping) will apply. Sample charges may be adjusted against confirmed bulk orders placed under LC or full advance payment terms.
• Banking Charges: All banking charges outside Sri Lanka, including intermediary and receiving bank charges, shall be borne by the buyer.

9.3 Incoterms

All international trade transactions shall be governed by INCOTERMS® 2020, unless otherwise stated in writing. Commonly offered terms include:

• EXW (Ex Works): Buyer arranges pickup, export clearance, freight, insurance, and delivery from our factory. Suitable for buyers with their own logistics team, but not recommended for new buyers.
• FOB (Free On Board): We handle export clearance and deliver goods safely onto the vessel at the Sri Lankan port. Buyer arranges freight and insurance. This is our most commonly used and efficient option for regular shipments.
• CIF (Cost, Insurance & Freight): We arrange freight and basic insurance up to the destination port. Buyer handles customs clearance and delivery in their country. This is the easiest option for new buyers and small orders.
• CFR (Cost & Freight): Similar to CIF, but without insurance. Buyer arranges insurance separately. Recommended only when buyer has preferred insurance coverage.

9.4 Orders & Confirmation

• Orders are valid only upon written confirmation by Tropixa Ceylon Pvt. Ltd.
• Orders will be confirmed and scheduled for production only after payment terms are fulfilled, either by Letter of Credit (LC) confirmed and received by the Seller’s bank, or Advance / Full Payment received to our bank account. Proforma Invoice (PI) issuance alone does not guarantee production.
• Production timelines are indicative and may vary depending on raw material availability, production capacity, logistics conditions, or force majeure events beyond our control.
• Inspection & Visits: If the buyer requires third-party inspection for production or container loading, we fully cooperate with internationally recognized inspection companies such as SGS or any mutually agreed verified inspector. Buyers are also welcome to visit our factory or warehouses with prior appointment.

10. Contract Manufacturing Disclaimer

Tropixa Ceylon Pvt. Ltd. operates under a contract manufacturing model. Production may be carried out by approved and audited third-party facilities that comply with relevant international food safety and quality standards.

Tropixa Ceylon Pvt. Ltd. remains fully responsible for:

• Final product specifications and quality requirements
• Brand ownership, branding, and marketing activities
• Commercial agreements and relationships with buyers

All partner facilities are selected based on strict quality compliance, and buyers may request inspections or visit production sites with prior arrangement.

11. Quality, Compliance & Certifications

Tropixa Ceylon Pvt. Ltd. is fully committed to delivering products that meet the highest standards of food safety, quality, and regulatory compliance. All our production processes adhere to strict national and international regulations, ensuring that every product is safe, consistent, and reliable.

Our products may carry relevant certifications such as ISO, HACCP, organic, or other industry-specific standards, depending on the product type and manufacturing facility. These certifications are obtained through rigorous audits and inspections by accredited bodies to ensure ongoing compliance.

Verified buyers may request copies of applicable certifications at any time. Tropixa Ceylon Pvt. Ltd. maintains transparency in quality assurance and continuously works to uphold global best practices in production and safety standards.

12. Limitation of Liability

To the fullest extent permitted by law:

• Tropixa Ceylon Pvt. Ltd. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products or services.
• We do not guarantee uninterrupted or error-free access to our website or online platforms.
• Use of our website, platforms, or related services is at the user’s own risk.

13. Force Majeure

Tropixa Ceylon Pvt. Ltd. shall not be held liable for any delay, failure, or inability to perform any obligation under these Terms & Conditions, or any contract, resulting from events beyond reasonable control, including but not limited to:

• Natural disasters, extreme weather conditions, floods, earthquakes, or other acts of nature;
• Government actions, laws, regulations, embargoes, or restrictions;
• War, terrorism, civil unrest, riots, strikes, pandemics, or labor disputes;
• Supply chain disruptions, transportation or logistics delays, fire, power outages, or other unforeseen operational interruptions.

In the event of a force majeure, Tropixa Ceylon Pvt. Ltd. shall make reasonable efforts to mitigate the impact of such events and resume performance as soon as practicable. Neither party shall be considered in breach of its obligations for delays or failures caused by such events.

14. Confidentiality

All non-public information, including but not limited to business strategies, financial data, product details, client information, trade secrets, and other proprietary materials, shared between parties during the course of business discussions, negotiations, or collaborations, shall be deemed strictly confidential. Such information shall not be disclosed, reproduced, or used for any purpose other than the intended business relationship, unless:

• Disclosure is expressly authorized in writing by the disclosing party;
• Disclosure is required by applicable law, regulation, or court order, provided that the receiving party notifies the disclosing party promptly to allow protective measures;
• Information becomes publicly available through no fault of the receiving party.

Each party agrees to implement reasonable safeguards to protect the confidentiality of such information and to restrict access solely to employees, agents, or advisors who have a legitimate need to know in connection with the business relationship. Breach of confidentiality may result in legal action and remedies available under law.

15. Governing Law & Jurisdiction

These Terms & Conditions, as well as any use of the website or related services, shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.

Any disputes, claims, or controversies arising out of or in connection with these Terms & Conditions, including their formation, validity, performance, or breach, shall be submitted to the exclusive jurisdiction of the courts of Sri Lanka. Each party hereby irrevocably consents to such jurisdiction and venue and waives any objection based on forum non conveniens or similar grounds.

Nothing in this section shall prevent the parties from seeking interim or injunctive relief from any competent court where necessary to protect rights or property.
